These Terms of Service (“Terms”) govern your access to and use of the services provided by Wisenet Gateway Technology LLC (the “Services”). By using or ordering our Services you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Definitions
Customer / you / your — any person or entity that registers for, purchases, or uses the Services.
Services — cloud brokering, platform access, onboarding, payments processing (including cryptocurrency), consulting, connectivity (including CN2 routing), and any other products or services Wisenet provides.
Account — the user account through which a Customer accesses Services.
2. Scope of Services
Wisenet provides vendor-neutral cloud brokering and a one-stop cloud platform offering access to partner rates, multi-cloud provisioning, onboarding, billing and value-added solutions (including AI engine discounts, cloud phones, and infrastructure for gaming, Web3, streaming and AI/ML). Specific Services and service levels are set out in the order, quotation, or SOW (each an “Order”).
3. Orders, Provisioning and Onboarding
Orders are subject to acceptance by Wisenet. An Order becomes binding when Wisenet confirms it in writing.
Provisioning times vary by provider and chosen configuration. We will use commercially reasonable efforts to onboard customers quickly; exact delivery times are estimates only.
Some Services require information or actions from you (identity verification, domain/DNS changes, payment method, KYC). Delays caused by missing or inaccurate information are your responsibility.
4. Accounts, Credentials & Security
You must provide accurate information and keep account credentials secure. You are solely responsible for activity under your account.
Notify us promptly of any unauthorized use. We may suspend access if we reasonably suspect unauthorized use or unlawful activity.
5. Pricing, Billing & Payment
Fees are those stated in your Order. Unless otherwise stated, fees are payable in the currency specified and are exclusive of taxes.
We accept conventional payment methods and, where offered, cryptocurrency. Cryptocurrency payments are final once confirmed on the relevant blockchain; price volatility and fees are your responsibility.
Late payments may incur interest and/or suspension of Services. We may require prepayment, deposits, or payment guarantees for certain Services.
Refunds are only provided where agreed in the Order or required by applicable law.
6. Cryptocurrency Specifics
If you elect to pay with cryptocurrency, you accept the risks of volatility and transaction irreversibility. We will convert received cryptocurrency to the currency specified in the Order at our chosen rate unless otherwise agreed.
You are responsible for any blockchain/network fees and for providing accurate wallet/payment information.
7. Use Restrictions
You agree not to use the Services to:
Violate applicable law or regulation.
Transmit malware, spam, or malicious content.
Host, store, or distribute infringing, pornographic, or unlawful material.
Interfere with the operation or security of any network or system.
We may suspend or terminate Services that violate these restrictions.
8. Intellectual Property
Wisenet and its licensors retain all IP rights in the Services, platform, tools, documentation, and any modifications we make.
You retain rights in your data and content uploaded to the Services, but you grant Wisenet a non-exclusive, worldwide, royalty-free license to use such data to provide the Services and meet legal or operational obligations.
9. Data Protection & Privacy
We process personal data in accordance with applicable law and our Privacy Policy. By using the Services you consent to such processing.
You are responsible for the lawfulness of the personal data you upload and for obtaining necessary consents from data subjects.
10. Confidentiality
Each party will keep confidential non-public information of the other party and will not disclose it except (a) to employees/contractors who need to know and are bound by confidentiality, (b) with prior consent, or (c) as required by law.
11. Warranties & Disclaimers
We warrant that we will perform Services with reasonable skill and care. Specific warranties (if any) will be set out in the Order.
EXCEPT AS EXPRESSLY PROVIDED, THE SERVICES ARE PROVIDED “AS IS” AND WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED (INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT).
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WISENET’S LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES IS LIMITED TO THE AMOUNTS PAID BY YOU FOR THE AFFECTED SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
IN NO EVENT WILL WISENET BE LIABLE FOR INDIRECT, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR LOST PROFITS, OR LOST DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
These limitations do not apply to liability that cannot be limited or excluded by applicable law (e.g., personal injury or death caused by negligence where such limitation is unlawful).
13. Indemnification
You will indemnify, defend and hold Wisenet harmless from and against claims, liabilities, losses and expenses (including reasonable legal fees) arising from your use of the Services in breach of these Terms, your violation of applicable law, or your infringement of third-party rights.
14. Suspension & Termination
We may suspend or terminate Services for material breach, non-payment, illegal activity, or to comply with law.
Termination or suspension does not relieve you of payment obligations incurred prior to termination.
On termination you must cease use of Services; we may delete or archive your data in accordance with our retention policies and applicable law.
15. Modifications to Services and Terms
We may modify or discontinue features of the Services and will provide notice where required.
We may amend these Terms from time to time. Continued use after notice constitutes acceptance of the amended Terms.
16. Notices
All notices to you will be sent to the email associated with your Account. Legal notices to Wisenet must be sent to the registered address above or to sales@gix-cloud.com
17. Governing Law & Dispute Resolution
These Terms are governed by the laws of the United Arab Emirates. Any dispute arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE, unless otherwise agreed in writing.
18. Severability & Entire Agreement
If any provision is held invalid or unenforceable, the remainder will continue in full force. These Terms, together with any Orders, privacy policy and applicable SOWs, constitute the entire agreement between you and Wisenet regarding the Services.
19. Third-Party Services
Services may involve third-party providers (cloud providers, payment processors). Use of such third-party services is subject to their terms. Wisenet is not liable for third-party performance or availability beyond our control.
